BVN AIR USA LLC’S SERVICE TERMS AND CONDITIONS
These Service Terms and Conditions (“Service Terms”) apply to all services provided by BVN Air USA LLC (“Seller”) to the Buyer. By requesting or accepting services, Buyer agrees to be bound by these Service Terms in addition to Seller’s General Terms and Conditions of Sale. In the event of conflict, these Service Terms shall govern with respect to services.
- Scope of Services
Seller shall provide only the services expressly described in a written quotation, proposal, or service order accepted by both parties. Any additional or out-of-scope work must be agreed upon in writing and may be subject to additional charges.
- Pricing and Payment
Unless otherwise specified in writing:
All services are performed on a time and materials basis.
Standard hourly rates, travel charges, per diem, and incidental expenses apply.
Minimum billing period is four (4) hours, including travel time.
Invoices are due upon receipt, and late payments are subject to interest as described in Seller’s General Terms.
- Scheduling and Availability
Service scheduling is subject to availability of qualified personnel. Seller shall use reasonable efforts to meet agreed schedules but shall not be liable for delays beyond its control.
- Site Requirements
Buyer must ensure:
Safe and unrestricted access to the service site,
That all required utilities, equipment, and personnel are available,
Compliance with all local health, safety, and environmental regulations.
Seller reserves the right to refuse or suspend service if unsafe or noncompliant conditions exist.
- No Warranty for Services
All services are provided “as-is” without any express or implied warranty. This includes, but is not limited to, any warranty of merchantability, fitness for a particular purpose, or results.
- Limitation of Liability
Seller’s liability for service-related issues shall be strictly limited to the amount paid by Buyer for such services. Seller shall not be liable for any indirect, incidental, or consequential damages arising from services performed or not performed.
- Intellectual Property
Any technical advice, report, or data generated during services remains the property of Seller unless otherwise agreed in writing. Buyer may not disclose, publish, or share such materials with third parties without Seller’s prior written consent.
- Indemnification
Buyer shall indemnify, defend, and hold harmless Seller from any claims, damages, or liabilities arising from:
Buyer’s failure to comply with applicable laws or site safety,
Injuries or losses sustained by Buyer’s personnel or third parties,
Misuse or reliance on service outcomes beyond Seller’s written scope.
- Cancellation and Rescheduling
Buyer must provide at least five (5) business days’ notice to cancel or reschedule confirmed service appointments. Failure to do so may result in a cancellation fee and reimbursement of non-refundable travel or labor costs.
- Governing Law
These Service Terms shall be governed by and construed in accordance with the laws of the State of Texas. All disputes shall be resolved exclusively in the courts of Collin County, Texas.
